These Terms and Conditions govern access to and use of the Lexicord reference platform. Please read them carefully before subscribing or otherwise using the platform.

1. Definitions
In these Terms and Conditions, the following expressions have the meanings assigned to them below:
- "Platform" means the Lexicord legal glossary and reference service, including the curated glossary, reference essays, citation tooling, and editorial bulletin, accessible via the Lexicord website at lexxicord.pro.
- "Subscription" means a subscription arrangement for access to the Platform, as described in the applicable subscription tier.
- "Content" means all glossary entries, definitions, citations, reference essays, editorial notes, and other material published on or through the Platform by Lexicord.
- "Named Users" means, in the case of an Institutional Subscription, the individuals within the subscribing organisation who have been designated to access the Platform under the subscription.
- "Subscription Period" means the annual period commencing on the date the subscription is activated.
2. Access and Subscription Tiers
Lexicord offers the following subscription arrangements:
- Individual Reader Subscription (HKD 780 per annum): Access for a single named individual to the curated glossary, reference essays, and quarterly editorial bulletin. The subscription may not be shared.
- Institutional Annual Subscription (HKD 6,800 per annum): Access for a named team within an organisation, covering the full platform including citation tooling and quarterly editorial updates. The subscribing organisation may designate Named Users up to the agreed number. Access credentials may not be shared with persons outside the named team.
- Editorial Customisation Engagement (HKD 2,100): A one-time engagement to extend the platform with the Subscriber's internal terminology. Access and output terms are set out in clause 5.
Subscribers are responsible for maintaining the confidentiality of their access credentials and for all activity occurring under their account.
3. Permitted Use
Subject to the payment of applicable fees and compliance with these Terms, Lexicord grants each Subscriber a non-transferable, non-sublicensable right to access and use the Platform for internal reference and research purposes during the Subscription Period.
The following uses are not permitted without prior written consent from Lexicord:
- Reproducing, distributing, or publishing any material from the Platform in any external publication, database, product, or service;
- Scraping, bulk-downloading, or systematically extracting Content from the Platform by automated or manual means;
- Sub-licensing, reselling, or otherwise making access available to persons outside the subscription arrangement;
- Using the Platform or its Content to train, fine-tune, or evaluate machine-learning models or artificial intelligence systems;
- Representing the Content as the Subscriber's own original work.
Permitted internal use includes incorporating brief citations and references in internal documents, work product, and legal memoranda, provided that attribution to Lexicord is included.
4. Intellectual Property
All Content on the Platform, including glossary entries, definitions, citation structures, editorial essays, and the selection and arrangement of material, is the intellectual property of Lexicord and is protected by applicable copyright law in Hong Kong and internationally.
Nothing in these Terms transfers any intellectual property rights to the Subscriber. The grant of access described in clause 3 is a licence only and does not constitute a transfer of ownership of any Content.
Lexicord's name, trading names, and any trade marks or service marks associated with the Platform are the property of Lexicord. They may not be used in connection with any product or service without prior written permission.
5. Editorial Customisation Engagements
Where a Subscriber commissions an Editorial Customisation Engagement, the following terms apply in addition to the general terms:
- The scope of the engagement, including the number of headwords, the target domain, and the delivery format, will be agreed in writing before work commences;
- The output of the engagement — comprising the extended glossary content and the editorial-handover memo — is delivered to the Subscriber on completion and payment of the engagement fee;
- Lexicord retains the right to use the editorial methodology and structural approaches developed during the engagement in future work, provided that no Subscriber-confidential content is reproduced;
- The Subscriber receives a perpetual, internal-use licence to the specific extended glossary content delivered. This licence does not extend to the Lexicord platform or its underlying Content.
6. Fees and Payment
Subscription fees are payable in Hong Kong Dollars (HKD) in advance of the Subscription Period commencing. Payment is processed through Lexicord's nominated payment service provider. Fees are stated inclusive of any applicable taxes unless otherwise indicated.
Lexicord reserves the right to revise subscription fees at renewal. Subscribers will be notified of any fee change not less than 30 days before the renewal date.
7. Renewal and Cancellation
Subscriptions renew automatically at the end of each Subscription Period unless the Subscriber notifies Lexicord in writing of their intention not to renew at least 14 days before the renewal date.
Cancellation of a subscription during an active Subscription Period does not entitle the Subscriber to a refund of fees paid, except where required by applicable law or where Lexicord has materially failed to provide the subscribed service.

8. Platform Availability
Lexicord endeavours to maintain consistent access to the Platform but does not warrant uninterrupted availability. Scheduled maintenance, infrastructure updates, and circumstances outside Lexicord's reasonable control may affect access. Notice of planned maintenance will be provided where practicable.
9. Disclaimer of Warranties
The Platform is a reference work. It is not legal advice, and nothing in the Content should be construed as such. The Content reflects the editorial judgment of the Lexicord board as at the date of publication or most recent update; it may not reflect subsequent developments in law or practice.
While Lexicord takes care in preparing and maintaining the Content, it does not warrant that any particular entry is free from error, complete, or current as at the date on which it is consulted. Subscribers are responsible for verifying the accuracy and applicability of any reference material before relying on it in professional or commercial contexts.
The Platform is provided on an "as available" basis. To the extent permitted by law, Lexicord excludes all warranties, express or implied, in relation to the Platform and its Content.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Lexicord's total liability to any Subscriber in connection with the Platform or these Terms shall not exceed the total subscription fees paid by that Subscriber in the 12-month period immediately preceding the event giving rise to the claim.
Lexicord shall not be liable for any indirect, consequential, special, or incidental loss arising from use of or reliance on the Platform, including loss of profit, loss of opportunity, or loss arising from a professional decision made in reliance on the Content.
Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable Hong Kong law.
11. Termination
Lexicord may suspend or terminate a Subscriber's access to the Platform with immediate effect if the Subscriber:
- breaches any provision of these Terms and fails to remedy the breach within 7 days of written notice;
- uses the Platform in a manner that Lexicord reasonably considers harmful to the platform, its Content, or other subscribers;
- fails to pay applicable fees when due.
On termination, the Subscriber's right of access ceases immediately. Clauses relating to intellectual property, limitation of liability, and governing law survive termination.
12. Governing Law and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. The parties submit to the non-exclusive jurisdiction of the courts of Hong Kong for the resolution of any disputes arising out of or in connection with these Terms.
13. Amendments
Lexicord may amend these Terms from time to time. The current version, together with its effective date, is published on this page. Subscribers will be notified of material changes by email at least 30 days before the amended Terms take effect. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised Terms.
